This Agreement outlines the terms and conditions for the design services provided by KEXCO DIGITAL SOLUTIONS to you the “Client” for the creation of a sales page or related digital assets.

1.Scope of Work
1.1. The Designer agrees to design and develop a sales page based on the specifications provided by the Client.
1.2. The Client must provide detailed information, including branding materials, copy, product images, and any additional assets required to complete the design before the start of the design.
1.3. Any additional revisions or changes beyond the agreed-upon scope will be billed separately.

2. Fees and Payment Terms
2.1. The Client agrees to pay the agreed-upon fee of [Amount] for the services rendered.
2.2. A deposit of 40% or more must be paid upfront before work begins, with the remaining balance due upon project completion.
2.3. The Designer reserves the right to withhold final delivery of the project until the full payment has been made.
2.4. If additional work is requested outside the original scope, this will incur additional charges, which will be agreed upon in writing.

3. Project Timeline
3.1. The Designer agrees to deliver the project within 3 business days from the date of receiving all required assets from the Client.
3.2. Delays in the Client providing necessary materials may affect the project timeline.

4. Revisions
4.1. The Client is entitled to several rounds of revisions within 24 hours after the initial completion of the project as part of the agreed fee.
4.2. Any revisions beyond the specified time frame (24 hours) will be billed separately per revision.

5. Cancellation
5.1. The Client may cancel the project at any time, but the deposit will be non-refundable.
5.2. If the Client cancels after significant work has been completed, they may be liable for the full project cost, depending on the progress made.

6. Ownership and Rights
6.1. Upon final payment, the Client will receive full ownership of the final sales page design and any associated files.
6.2. The Designer retains the right to showcase the completed work in their portfolio, on social media, or in marketing materials.

7. Confidentiality
7.1. Both parties agree to maintain confidentiality regarding any proprietary information shared during the course of the project.
7.2. The Designer agrees not to disclose, share, or use the Client’s confidential information for any purpose other than the completion of the sales page design.

8. Liability
8.1. The Designer is not liable for any losses or damages incurred as a result of the use of the sales page or other digital assets.
8.2. The Client assumes full responsibility for the legality and accuracy of all content provided for the sales page.

9. Termination
9.1. Either party may terminate this agreement with written notice if the other party fails to meet their obligations under these terms and conditions.
9.2. Upon termination, all outstanding fees and work completed must be settled within 3 working days.

10. Governing Law
This Agreement shall be governed by the laws of Federal Republic of Nigeria, and any disputes shall be resolved in Nigeria.
